Key Takeaways

Tokenization listed alongside Treasury clearing reform risks

Exam program covers more than 34,000 registrants

OTC Link fined $575,000 over Regulation SCI

SEC’s tokenized-stock exemption came five weeks earlier

The Division of Examinations published the priorities on October 23.

One line in a list of eight

Tokenization sits in the SEC’s list of key focus areas under risks tied to evolving market infrastructure, next to Treasury clearing reforms. The program covers the fiscal year that began on October 1 and more than 34,000 registrants, from investment advisers and broker-dealers to clearing agencies and transfer agents. Other priorities range from private credit and cybersecurity to emerging technologies, including what the SEC calls super intelligence.

According to the full priorities document, tokenization comes up in two areas. Clearing-agency examinations will cover it alongside default management and recovery, and reviews under Regulation Systems Compliance and Integrity, or Regulation SCI, will consider tokenized securities among emerging trends while also looking at firms’ reliance on cloud and other vendors. The division says the list is not exhaustive and its focus may shift during the year.

Why the timing matters

On September 17, the SEC granted temporary, conditional relief allowing certain tokenized-securities venues to operate without registering as exchanges, and certain liquidity providers without registering as dealers. Chairman Paul Atkins called that order a bridge toward durable rulemaking. The exam priorities do not mention the exemption, but they direct examiners to the clearing and market systems that such venues depend on.

Where a token and the record can drift apart

How much risk sits in those systems depends on the product. SEC staff’s January statement on tokenized securities describes two issuer-sponsored models: in one, the blockchain is part of the official ownership record; in the other, an onchain transfer triggers an update to a register kept elsewhere.

In the second model, a wallet can show a token before the register catches up, which is why keeping blockchain transfers aligned with legal ownership records takes work beyond the network itself. The staff statement also separates both models from third-party and synthetic products, which can add counterparty and bankruptcy risk.

Outsourcing does not move the responsibility

Regulation SCI applies to certain exchanges, clearing agencies, trading systems and similar market operators, covering the technology behind trading, clearance, settlement and market data. It does not reach every company that issues a token. For the firms it does cover, SEC staff guidance says an entity that uses another company to run covered systems remains responsible for meeting the rules.

That means assessing the provider, setting contract terms and monitoring performance, and reconsidering the arrangement if the entity cannot manage it well enough to comply. A blockchain that keeps producing blocks does not show that a venue’s access controls, recordkeeping or recovery plans are working.

What happens when findings sit in draft

Case in point

On September 22, the SEC censured OTC Link and fined it $575,000 over Regulation SCI failures at its trading system that ran from August 2016 to March 2025. Examiners flagged missing policies on system security, access control and vulnerability management several times, and the firm left some of them in draft.

Laura D’Allaird, who heads the SEC enforcement unit for cyber and emerging technologies, said the firm’s conduct showed “a disregard for their findings and the overall examinations process.” OTC Link settled without admitting the findings. The case did not involve tokenization, but it shows what follows when exam findings go unaddressed.

Questions to ask before buying a tokenized stock

The first concrete signals are likely to come from exam observations and risk alerts the division publishes during the year. Until then, customers of tokenized products can ask four questions: who the legal issuer is, who keeps the official ownership record, how custody works, and how withdrawals are handled if a system goes down. As the different rights attached to tokenized stocks show, the same ticker can sit on products with very different answers.
